INTERNATIONAL DEALERSHIP AND AUTHORIZED RESELLER AGREEMENT

1. PARTIES

2. SUBJECT OF THE AGREEMENT

This Agreement regulates the rights and obligations of the parties regarding the sale of the SUPPLIER’s products by the DEALER through:

• physical stores,
• e-commerce websites,
• social media platforms,
• global marketplaces,
• mobile applications.

3. SCOPE OF AUTHORIZATION

The DEALER may:

• sell products to end users,
• conduct advertising and promotional activities,
• list products on its own sales platforms,
• sell products on national and international marketplaces.

The SUPPLIER reserves the right to work with other dealers and sellers within the same region or on the same platforms.

This Agreement does not grant exclusive dealership rights.

4. USE OF BRAND AND CORPORATE IDENTITY

The DEALER agrees:

• not to damage the brand reputation,
• not to misleadingly modify product images,
• not to create fake campaigns,
• not to provide misleading consumer information,
• not to make statements harmful to the brand value.

The SUPPLIER may determine:

• visual standards,
• description formats,
• pricing policies,
• brand usage rules

when deemed necessary.

5. PRICING POLICY

The DEALER may determine product prices according to its own sales strategy.

However, practices that are:

• damaging to brand value,
• misleading,
• causing unfair competition,
• disrupting market balance

are prohibited.

The SUPPLIER may apply minimum advertised price policies when necessary.

6. PRODUCT SUPPLY

Orders are prepared according to stock availability.

The SUPPLIER may make changes in product supply due to:

• production changes,
• stock shortages,
• supply chain problems,
• import/export procedures,
• logistics delays,
• force majeure events.

7. PAYMENT AND COLLECTION

Payment methods may be separately determined between the parties.

The SUPPLIER may accept:

• bank transfer,
• EFT,
• SWIFT,
• international transfers,
• alternative payment systems.

Alternative payment systems may additionally apply for Russia.

Unless otherwise agreed in writing, international transfer costs belong to the DEALER.

8. SHIPPING AND INTERNATIONAL DELIVERY

Shipping procedures depend on the selected logistics company.

For international shipments:

• customs procedures,
• country regulations,
• official inspections,
• import rules,
• logistics density

may affect delivery times.

The SUPPLIER is not directly responsible for delays caused by shipping companies.

9. RETURNS AND CUSTOMER PROCESSES

The DEALER is responsible for complying with consumer protection laws in the countries where sales are made.

The SUPPLIER is only responsible for clear manufacturing defects.

The following situations are not considered manufacturing defects or covered under warranty:

• incorrect size selection,
• customer misuse,
• usage contrary to washing instructions,
• user-caused deformations,
• usage contrary to hygiene conditions.

10. INTELLECTUAL PROPERTY RIGHTS

The following belonging to the SUPPLIER:

• trademarks,
• logos,
• designs,
• images,
• videos,
• catalogs,
• product descriptions,
• advertising materials

are protected under intellectual property rights.

Without permission, they may not be:

• reproduced,
• transferred to third parties,
• sold,
• copied.

11. CONFIDENTIALITY

The parties agree not to share with third parties:

• commercial information,
• price lists,
• customer information,
• sales strategies,
• supply processes,
• private campaigns.

12. COMPETITION AND BRAND PROTECTION

The DEALER agrees:

• not to sell counterfeit products,
• not to engage in activities damaging to brand reputation,
• not to conduct misleading sales practices,
• not to misuse the SUPPLIER’s brand.

13. TERMINATION OF THE AGREEMENT

Either party may unilaterally terminate this Agreement in cases of:

• violation of payment obligations,
• fraud,
• damage to brand reputation,
• unlawful activities,
• loss of commercial trust,
• violation of Agreement provisions.

14. INTERNATIONAL TRADE AND LOCAL LEGISLATION

The DEALER is responsible for complying with local regulations regarding:

• taxation,
• import procedures,
• consumer protection,
• advertising,
• e-commerce

in the countries where it operates.

The SUPPLIER is not directly responsible for issues arising from local regulations of foreign countries.

15. LEGAL JURISDICTION

This Agreement is governed by the laws of the Republic of Türkiye.

Turkish Law shall apply in disputes.

Authorized courts and enforcement offices are located in Antalya / Türkiye.

In case of translation differences, the Turkish version shall prevail.

16. EFFECTIVENESS

The parties declare that they have read and accepted all provisions of this Agreement.

This Agreement enters into force upon electronic or physical approval.

MEMBERSHIP AGREEMENT

This Membership Agreement (“Agreement”) is concluded electronically between the user (“MEMBER”) who registers on www.alanyaxxl.com and;

2. SUBJECT OF THE AGREEMENT

This Agreement regulates the conditions of use of www.alanyaxxl.com and the rights and obligations of the parties.

3. MEMBERSHIP CONDITIONS

The MEMBER agrees, declares and undertakes that:

• all provided information is accurate,
• they will not use information belonging to another person,
• they will not misuse their membership account,
• they will not perform actions contrary to applicable laws.

Persons under the age of 18 may not create a membership account without the consent of their legal representative.

4. ACCOUNT SECURITY

The MEMBER is responsible for the security of account information and passwords.

The COMPANY shall not be liable for damages resulting from password sharing or third-party use of the account.

The COMPANY may temporarily suspend or terminate membership accounts for security reasons when deemed necessary.

5. SCOPE OF SERVICES

Personal data belonging to the MEMBER is processed in accordance with:

• Turkish Personal Data Protection Law (KVKK),
• Privacy Agreement,

10. ELECTRONIC COMMUNICATIONS

If explicit consent is provided, the MEMBER agrees to receive electronic communications regarding:

12. TERMINATION OF MEMBERSHIP

13. LIMITATION OF LIABILITY

Turkish Law shall apply in disputes.

16. EFFECTIVENESS

This Agreement enters into force electronically.

In case of any dispute, Turkish Consumer Law shall apply and Turkish courts and consumer arbitration committees shall have jurisdiction.

In case of translation differences, the Turkish version shall prevail.
